A due diligence is usually carried on by a party (such as a consulting firm) who is not affiliated with the situation or issue being evaluated, but has the experience and expertise to understand the context and relevant issues that exist and/or may arise during the due diligence process. Due diligence work is generally conducted for a client who is contemplating a new project or investment, business transaction (such as an acquisition or merger), or related matter that can impact an organization and its investments and operations. The primary purpose for conducting a due diligence is to ensure that a client is provided all information with which to evaluate the pros, cons, risks, and issues involved and underpinning a potential investment, project or strategic action.
